Known for its strong focus on transactional issues, Goodwin routinely acts for emerging tech companies, and healthcare and life sciences investors. David Cappillo and Chris Wilson jointly head up the practice from Boston, while James Gatta leads from New York; Cappillo primarily assists tech and healthcare companies with M&A and growth equity issues, Wilson is a private equity expert, and Gatta focuses on both government and internal investigations. Miranda Hooker, John Jones and Allison DeLaurentis all joined the firm as part of a team from Troutman Pepper in early 2023, contributing their expertise in fraud and abuse and governance matters. Work highlights

  • Advised SunMedLLC on its acquisition of the consumables business operated by Vyaire Holding Company and its direct and indirect US and foreign subsidiaries. This was a global carve-out transaction and was structured as a mixed stock and asset sale.
  • Advised SunMed Group Holdings, LLC d/b/a AirLife on its acquisition of the global respiratory health business of Avanos Medical, Inc., including the BALLARD, MICROCUFF and endOclear product lines, for an aggregate purchase price of approximately $110m.
  • Advised affiliated investment funds of the client, InTandem Capital Partners, LLC, on completing its acquisition of Nebraska Orthopedic Hospital, LLC and certain affiliated entities based on an enterprise value of OrthoNebraska of $351m. The transaction was funded in part with a new credit facility and rollover from existing equity holders.
